CONSULTING & ONLINE SERVICES AGREEMENT
This Consulting & Online Services Agreement (“Agreement”) is entered into between Care2Grow Consulting, LLC (“Consultant”) and the individual or entity purchasing, accessing, or using Consultant’s services (“Client”).
By purchasing, enrolling in, accessing, or using the Care2Grow Consulting platform, programs, or services, Client acknowledges that they have read, understood, and agreed to be legally bound by this Agreement.Â
This Agreement becomes effective upon Client’s purchase, electronic acceptance, or access to any Care2Grow Consulting materials or services, whichever occurs first.
1. SERVICES. Consultant provides educational consulting, leadership training, and practice management strategies including online materials, coaching sessions, and community access. Services are educational only. Consultant does not provide medical, legal, financial, tax, or clinical advice. No doctor–patient relationship is created.
2. TERM. Initial term is nine (9) months. Renewal for an additional twelve (12) months may occur in writing at Consultant’s then-current pricing. Access to materials is granted only during an active paid term.
3. FEES & PAYMENT.
Client agrees to pay the fees for the Care2Grow Consulting program, course, product, or service selected at enrollment (“Program”) as displayed at checkout. All pricing, payment schedules, renewal terms, and promotional terms are incorporated herein by reference.
Client authorizes Consultant to charge the payment method provided for all applicable fees, including recurring or installment payments, and agrees to maintain current payment information. For subscription or installment Programs, Client authorizes automatic recurring charges pursuant to the selected payment plan.
Past-due amounts may incur a late fee of ten percent (10%) per month. Consultant may suspend access to services or materials until balances are satisfied, and unpaid balances may become immediately due upon termination for breach or non-payment.
Unless expressly stated at enrollment for a specific Program, all sales are final and non-refundable. Where a refund period is expressly offered, cancellation must occur within the stated timeframe and prior to accessing more than fifteen percent (15%) of digital Program content. Accessing more than fifteen percent (15%) constitutes waiver of rescission, cancellation, refund, and chargeback rights, and fees shall be deemed fully earned. Refund eligibility applies only to the Program identified at purchase and does not extend to workshops, events, intensives, digital products, subscriptions, or other offerings unless expressly stated.
Partial participation, failure to attend, or failure to complete a Program does not relieve Client of financial responsibility. Chargebacks or payment disputes initiated without prior written communication may result in immediate termination and collection efforts. Consultant reserves the right to modify pricing, payment structures, and program offerings for future enrollments.
4. INTELLECTUAL PROPERTY & CONFIDENTIALITY. All materials, systems, content, branding, templates, and strategies are Consultant’s confidential intellectual property. Client may not copy, reproduce, distribute, record, share access, reverse engineer, or resell materials. Confidentiality survives termination.
5. DISCLAIMERS. No guarantees are made regarding financial performance, patient volume, retention, growth, licensing, or compliance outcomes. Results depend on Client implementation. Services are not substitutes for legal, accounting, employment, insurance, mental health, or clinical advice. Health-related content is educational only for licensed professionals.
6. CLIENT RESPONSIBILITY. Client assumes full responsibility for implementation, business operations, compliance with laws, and professional licensure. Use of Services is at Client’s sole risk.
7. LIMITATION OF LIABILITY. Consultant shall not be liable for indirect, incidental, consequential, punitive, or special damages, lost profits, data loss, business interruption, or third-party platform issues. Total liability shall not exceed amounts paid under this Agreement.
8. INDEMNIFICATION. Client agrees to indemnify and hold harmless Consultant and its affiliates from claims, losses, damages, liabilities, and legal fees arising from Client’s business operations, implementation decisions, or breach of this Agreement.
9. NON-SOLICITATION & NON-COMPETITION. For the Term and two (2) years thereafter, Client shall not solicit Consultant’s clients, prospective clients introduced by Consultant, employees, contractors, or affiliates. Client shall not provide competing healthcare consulting services during the Term and for two (2) years post-termination. Breach constitutes irreparable harm entitling Consultant to injunctive relief.
10. TERMINATION. Agreement terminates upon expiration, mutual written consent, breach, non-payment, insolvency, or misconduct. Upon termination, access ceases immediately and unpaid balances become due. Intellectual property protections survive.
11. ACCOUNT SECURITY & THIRD PARTIES. Client is responsible for safeguarding login credentials. Consultant is not responsible for third-party tools, platforms, or external links.
12. FORCE MAJEURE. Neither party is liable for delays caused by events beyond reasonable control.
13. GOVERNING LAW & VENUE. This Agreement is governed by New Jersey law. Exclusive venue is Monmouth County, New Jersey.
14. ATTORNEYS’ FEES. The prevailing party in any dispute shall recover reasonable attorneys’ fees and costs.
15. GENERAL PROVISIONS. This Agreement constitutes the entire agreement and supersedes prior understandings. Modifications must be in writing signed by both parties. If any provision is unenforceable, it shall be modified only as necessary to remain enforceable. Consultant may assign this Agreement; Client may not assign without written consent.
